1. About Univia Global Consultancy

Univia Global Consultancy L.L.C-FZ ("UGC," "Univia," "the Firm," "we," "us," or "our") is a Free Zone Limited Liability Company registered under the laws of the United Arab Emirates, with Trade License No. 2534238.01 and TRN 105081920800001. Our registered address is Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates.

2. Services and Deliverables

2.1 We provide strategic, financial and advisory services as detailed in individual Engagement Agreements. We will perform these services with reasonable skill and care.

2.2 Any deliverables, reports or advice provided by Univia are for your exclusive use and for the specific purpose outlined in the Engagement Agreement. You may not disclose these deliverables to third parties without our prior written consent, except as required by law or to your legal advisors on a non-reliance basis.

2.3 Our advice is based on the information provided by you and the laws and regulations in effect at the time the advice is given. We are not obligated to update our advice for subsequent changes in law or practice unless specifically engaged to do so.

3. Client Responsibilities

3.1 You agree to provide prompt, accurate and complete information necessary for us to perform the services. We will not independently verify the accuracy of the information you provide, except as specifically agreed in the Engagement Agreement.

3.2 Our performance depends on your timely cooperation. We are not liable for any delays, losses or additional costs resulting from your failure to provide required information or fulfill your obligations.

4. Fees and Payment

4.1 Fees for our services are set out in the Engagement Agreement. Unless otherwise stated, all fees are exclusive of VAT and applicable taxes, which you agree to pay in full in addition to the stated fees.

4.2 Out-of-pocket expenses are capped at 10% of the total fee and billed at actuals if incurred.

4.3 Invoices are payable within the timeframe specified in the Engagement Agreement. We reserve the right to suspend services if payments are not settled in accordance with the agreed terms.

5. Confidentiality

5.1 Both parties agree to keep each other's confidential information secure and not to disclose it to third parties, except as required by law, professional regulations, or as necessary to perform the services.

5.2 We may refer to you as a client and describe the general nature of services provided in our marketing materials, provided we do not disclose any confidential information.

6. Intellectual Property

6.1 Univia retains all intellectual property rights in the deliverables, methodologies, tools and materials created during the engagement. Upon full payment of our fees, you are granted a non-exclusive, non-transferable license to use the deliverables for your own internal business purposes only.

6.2 All content, graphics and materials on this website are the property of Univia Global Consultancy L.L.C-FZ and are protected under UAE and international copyright laws. Unauthorized use, reproduction or distribution is strictly prohibited.

7. Limitation of Liability

7.1 We accept no liability to anyone other than you in connection with our services. You agree to indemnify us against any claims, costs and liabilities brought by third parties arising from the services.

7.2 We shall not be liable for any loss of profit, goodwill, business opportunity, anticipated savings, or any indirect or consequential loss of any nature.

7.3 Our total aggregate liability for all claims is strictly limited to the total amount of fees actually received by us under the specific engagement giving rise to the claim.

7.4 You agree to bring any claims solely against Univia Global Consultancy L.L.C-FZ as an entity, and not against any individual partner, director, employee or consultant of the Firm.

8. Data Protection

8.1 Both parties will comply with applicable data protection legislation in relation to any personal data shared under the agreement.

8.2 We may process personal data for the purposes of providing the services, managing our business, and complying with legal and regulatory obligations.

9. Scope Variations and Amendments

9.1 Any additions, deletions or modifications to the agreed scope of services require mutual written agreement before work commences.

9.2 We reserve the right to amend these Terms and Conditions at any time. Changes will be posted on this page. Continued use of our website or services constitutes acceptance of the updated Terms.

10. Termination

10.1 Either party may terminate the engagement immediately by written notice if the other materially breaches the agreement and fails to remedy the breach within 14 days, becomes insolvent, or if continued performance would breach a legal or regulatory requirement.

10.2 Either party may also terminate the engagement on 30 days' written notice. You agree to pay us for all services performed up to the date of termination.

11. Dispute Resolution and Governing Law

11.1 If a dispute arises, the parties will attempt to resolve it through discussion, negotiation and mediation before commencing legal proceedings.

11.2 These Terms and any dispute arising from them shall be governed by the laws of the United Arab Emirates and subject to the exclusive jurisdiction of the courts of Dubai, UAE.

11.3 Any claims must be brought no later than two (2) years after the date you became aware of the potential claim, and in any event no later than four (4) years after the alleged breach.

12. General

12.1 These Terms, together with the Engagement Agreement, form the entire agreement between the parties and replace any earlier agreements, representations or discussions.

12.2 No party may assign, transfer or deal with their rights or obligations without prior written consent of the other party.

12.3 We will not be liable for failure to meet our obligations due to circumstances beyond our reasonable control (force majeure).
